## Contributions and company outcomes

### Barton’s resource growth, Tunkillia study and capital raising under Scanlon’s leadership [bgd_alex_success]

FY2025–2026 · issuer reported · medium materiality

Barton’s FY2025 annual report records Tunkillia resource growth to 1.6Moz Au and 3.1Moz Ag, a May 2025 optimised scoping study, Tolmer discoveries and a $3m placement priced at a 25% premium to 20-day VWAP. In the 30 June 2026 quarterly report, Barton reported $31.9m cash, no debt, ongoing Challenger DFS work and Q1 CY2027 study targets; October 2026 releases report final Tunkillia Phase 2 assays with updated resources pending. These are issuer-reported exploration, financing and study milestones, not production or positive FY2025 earnings, and they do not isolate Scanlon’s contribution.

**Attribution:** Role overlaps event; causation unproven. Scanlon was founder/MD through the period; no claim is made that he alone caused exploration results or forecast economics.

**Relevance:** Relevant CEO evidence; the group remains without a producing operation and major development studies are incomplete.

## Business failures and setbacks

### Challenger-CGM DFS target moved from March 2026 to Q1 2027 [bgd_alex_delay]

October 2025–October 2026 · documented · medium materiality

Edison’s 3 October 2025 update expected the Stage 1 Challenger-CGM DFS by the end of March 2026. A May 2026 update said work was continuing with an H2 CY2026 target. Barton’s 30 June 2026 quarterly report then said the DFS remained ongoing and targeted publication during Q1 CY2027. It had not been reported complete by the 10 October 2026 cutoff. This is project schedule slippage during Scanlon’s CEO tenure; the evidence does not establish that he personally caused it.

**Attribution:** Role overlaps event; causation unproven. Scanlon was MD/CEO during the schedule changes, but no source ties the delay to a decision or failure by him personally.

**Relevance:** Relevant to CEO execution oversight and project schedule credibility.

## Environmental record

### Challenger’s 2021 compliance report disclosed evidence gaps and tailings monitoring issues [bgd_alex_environment]

1 July 2020–30 June 2021; later issuer statement in FY2025 · documented · medium materiality

Barton’s statutory Challenger Annual Compliance Report for 1 July 2020–30 June 2021, prepared by Eco Logical Australia, said insufficient data or records were available to demonstrate compliance with some environmental outcomes and lease conditions because of a compliance-resourcing gap and/or incomplete records; 11 outcome criteria were recorded as unable to determine. The report also described minor tailings wind erosion and known dam-wall cracking under monitoring, with corrective work and a new PEPR planned. This documents a company compliance-evidence gap and site issues, not a regulator penalty, an adjudicated breach or proof of environmental harm. Barton’s FY2025 report later said it believed it had complied with environmental obligations subject to ongoing rehabilitation; a closure record for the 2021 gaps was not located by cutoff.

**Attribution:** Role overlaps event; causation unproven. Scanlon was CEO during the reporting period, establishing oversight overlap only; the ACR does not identify personal responsibility or a decision by him.

**Relevance:** Relevant to CEO oversight of legacy mine compliance, monitoring and rehabilitation controls.

## Litigation and enforcement

### 2013 Court of Appeal found breach of employee share-loan agreement [bgd_alex_sigiriya_case]

2010–2013 · documented · medium materiality

While Scanlon worked at Sigiriya Capital, he received a $47,500 employee loan to acquire shares. The NSW Court of Appeal held that his transfer of legal title to 7,499,850 Sirius Minerals shares breached the loan agreement and that the breach had not been promptly remedied; it ordered the shares transferred to Sigiriya and ordered Scanlon to pay costs at trial and on appeal. The judgment rejected one early-termination theory but enforced the separate default remedy. It is a civil contractual decision and contains no fraud or criminal finding.

**Attribution:** Individual involvement documented. The judgment directly identifies Scanlon, the transfer and the contractual breach. It does not find fraud or criminal conduct.

**Relevance:** Relevant prior professional legal outcome in his finance and investment career; it predates Barton and is not a Barton-tenure event.

### Disputed WGCJV claims preceded Barton’s withdrawal from its minority interests [bgd_alex_wgcjv]

July–September 2023; later resolution not located by cutoff · disputed · medium materiality

In July 2023 Marmota and Half Moon said they intended to sue Barton and subsidiary Challenger 2 over the Western Gawler Craton Joint Venture, alleging issues including access, approvals and unpaid costs. Barton rejected the claims, said it had external legal advice and made settlement offers. Barton’s FY2023 annual report said no reply arrived before its deadline and recorded withdrawal from its legacy WGCJV and overlapping Sandstone JV positions, with an estimated 61,400oz Au reduction in group resources. Targeted searches through 10 October 2026 did not locate a later court determination or settlement notice. The underlying claims therefore remain disputed and unresolved in the evidence reviewed; no individual wrongdoing finding is established.

**Attribution:** Role overlaps event; causation unproven. Scanlon was MD/CEO and commented publicly, but the record does not establish that he personally caused the JV dispute or the counterparty’s allegations.

**Relevance:** Relevant to CEO oversight of joint-venture relationships, litigation exposure and asset/resource outcomes.

## Governance and interests

### FY2025 report disclosed a related-party royalty interest [bgd_alex_royalty]

FY2025 · issuer reported · low materiality

Barton’s FY2025 audited annual report says controlled subsidiaries were party to a private royalty agreement with Australis Royalties Pty Ltd; Scanlon was an Australis director and associated entities held relevant interests in the royalty. The report records $19,255 in FY2025 payments ($107,603 in FY2024), states the terms were normal commercial terms and market rates, and identifies no other KMP transactions that year. This is disclosed conflict-of-interest context, not evidence of improper conduct.

**Attribution:** Individual involvement documented. The audited report explicitly names Scanlon’s directorship and associated entities’ interest; it reports no finding of misconduct.

**Relevance:** Relevant to CEO related-party disclosure and board oversight.

## Evidence gaps

- Exact dates and independent corroboration for several prior-employer roles are not disclosed in the cited public biographies.

- Degrees, professional memberships and licences are issuer-reported; direct awarding-institution and register verification was not completed.

- The documented name/employer searches and reviewed filings are not exhaustive criminal, sanctions, litigation, safety, environmental or regulatory record checks; no clearance is implied.

- Company exploration, finance and project milestones are not personally attributable absent the role limits stated in each finding.

- For the MD, the earlier March 2026 Challenger-CGM DFS target was not evidenced as met by cutoff; the latest reviewed May 2026 schedule moved the target to H2 2026.

- The FY2026 annual report was announced as released on 29 September 2026, but the full report could not be retrieved and read by the cutoff; no claim is based on its contents.

- The 2013 Court of Appeal judgment is reproduced by CaseChat; an official NSW Caselaw copy was not located. The case is a civil contractual breach, not a fraud or criminal finding.

- No later court determination or settlement notice for the disputed 2023 WGCJV matter was located in targeted searches through 10 October 2026; the reviewed record shows Barton’s withdrawal and resource reduction, not a legal resolution.

- The Challenger 2021 ACR’s corrective actions were not traced to a later closure record. Barton’s FY2025 report states its belief that environmental obligations were met subject to ongoing rehabilitation.
