## Litigation and enforcement

### McDermott shareholder litigation [dickson_lit]

2018–May 2026 · disputed · high materiality

A separate securities class action named Dickson as a defendant over alleged merger-related disclosures. McDermott stated in Q1 2026 that it considered the claims meritless; in May 2026 the court appointed a lead plaintiff for a subclass. This procedural order is not a judgment on the allegations; the ultimate outcome was not located.

**Attribution:** Individual involvement documented. Allegations and defenses remain distinct from the 2023 SEC settlement; no final liability determination was located.

**Relevance:** Relevant to disclosure oversight.

## Governance and interests

### SEC settled reporting-controls order [dickson_sec]

2018; 2023 resolution · documented · high materiality

The SEC found that Dickson and then CFO Stuart Spence approved a Cameron project loss estimate developed outside regular processes despite a higher initial estimate, indirectly causing inaccurate McDermott books and quarterly reporting. In 2023 he consented to a cease-and-desist order and US$100,000 penalty without admitting or denying the findings. Lake stated the matter concerned his previous employer and was unrelated to Lake.

**Attribution:** Individual involvement documented. The SEC order is a settled administrative order; its findings are not binding on others and are not a criminal finding.

**Relevance:** Directly relevant to financial-reporting oversight.
