## Governance and interests

### Auditor appointment oversight and court relief [brendan-harris-audit]

2023–2024 · documented · medium materiality

The WA Supreme Court held that Sandfire had not obtained the required nomination and shareholder appointment of its auditor at the 2023 AGM, and granted validating relief in 2024. The court found the non-compliance inadvertent, with no evidence of substantial misconduct. Evidence before the court said Prior escalated the issue to Tually and Jansen, then Harris.

**Attribution:** Role overlaps event; causation unproven. The court considered company oversight and subsequent detection and escalation; it did not find this individual personally responsible for the failure.

**Relevance:** A material company compliance error and its documented remediation.
