Moma plant fire and operational recovery

2013 · documented · medium materiality

On 21 October 2013 Kenmare reported a fire at its Moma wet concentrator A, suspended mining pond A and stated no injuries occurred. It sent operations director Deysel to oversee the investigation. Kenmare initially reported the fire followed routine welding; repair and replacement costs in 2013 were US$1.3m. Neither the sources nor this record establish personal fault.

Attribution: Role overlaps event; causation unproven. Kenmare named him operations director and sent him to investigate; no personal causal responsibility established.

MRC rights issue drew Takeovers Panel declaration

2022-10 to 2023-01 · documented · high materiality

The Panel identified Deysel as MRC CEO and a personal underwriter for up to A$100,000 of a 2022 rights issue. It declared the company circumstances unacceptable, citing insufficient mitigation of potential control effects, inadequate disclosure and the management of director Guy Walker’s conflicting roles. The Panel accepted undertakings including termination of Au Mining underwriting, changes to shortfall allocation and further disclosure. MRC subsequently disclosed that Deysel’s underwriting agreement had also been terminated. The Panel did not find personal dishonesty by Deysel or establish that he alone caused the company-level circumstances.

Attribution: Individual involvement documented. Panel reasons directly identify Deysel as an underwriter and record his participation in the board process. The identified conflicting roles concerned Walker, and the declaration addresses MRC circumstances collectively, not a finding of Deysel’s personal misconduct.

Relevance: Relevant to CEO capital-raising and governance oversight; distinguish his documented participation from collective company findings.

Mineral Commodities Limited 02 [2022] ATP 24 (paras. 1, 5, 24–35, 49–63; Annexure A); Chairman letter and supplementary offer (additional disclosures section 1)

Evidence gaps

  • Independent degree and membership verification and full prior role dates remain unavailable.

  • Detailed Moma final investigation record and direct causal responsibility were not established.

  • Panel findings address company circumstances collectively and do not establish personal dishonesty.

  • Individual searches and source reviews were limited; broad name-based queries were reused across multiple topics, and separate topic-specific checks were not completed for every category.
