Litigation and enforcement
Bullseye shareholder proceedings settled
2023–2024 · documented · medium materiality
The Panel records Clements as a Bullseye director and a defendant in the later 2023 oppression proceedings. The parties agreed to settle the proceedings, involving the issue of 22.8m shares. The Panel made separate takeover orders; the 2024 independent expert found no net benefit to the settling shareholders.
Attribution: Individual involvement documented. Named party and director; settlement is not a court determination that he committed misconduct.
Relevance: Governance context for a secretary involved in the group’s acquisition.
Bullseye Mining Limited 06 [2023] ATP 11 (Paragraphs 4, 13–15 and orders); Fourth Supplementary Target Statement and independent expert report (Section 4.2, independent report conclusions)

Court relief for historical cleansing notice errors
2021–2025 · documented · high materiality
In 2025 the WA Supreme Court considered 46 cleansing notices and potential failure to synchronise a subsidiary financial year; Clements said he had reused a notice without recognising a later statutory wording requirement. The court granted Emerald relief, accepted that those concerned acted honestly, and found no evidence of substantial misconduct or flagrant disregard. It gave additional time for the financial-year issue. Emerald subsequently reported ASIC granted ongoing relief on 24 September 2025, allowing the subsidiary to maintain a different financial year while its results are incorporated in the consolidated audit.
Attribution: Individual involvement documented. The court recounts his own evidence about notice preparation and granted relief on an honesty finding; the issuer reports later ongoing ASIC relief.
Relevance: Relevant to the company secretary’s compliance responsibilities.
