Litigation and enforcement
Historical TerraCom ASIC case resolved; no personal link established
Company conduct in 2020; judgment 2025; latest collection record 31 May 2026; final instalment due 30 June 2026 · documented · medium materiality
ASIC’s 2023 proceeding concerned 2020 whistleblower-related announcements and alleged misleading statements involving then-senior officers. TerraCom admitted one whistleblower-victimisation contravention; the Federal Court imposed a $7.5m penalty and $1m costs in 2025. ASIC later confirmed its case against the four former officers was dismissed. ASIC’s FOI release listed TerraCom among defendants with pecuniary penalties still outstanding as at 31 May 2026 (including matters with partial payment); the Court had set the final $3.5m instalment due by 30 June 2026. The reviewed public records do not establish whether that final instalment was paid by the 9 October 2026 cutoff. Bourke’s documented TerraCom service began in 2025, after the conduct; no personal link is established.
Attribution: Employer context; no individual link established. This is historical employer context only. It predates or is unrelated to the current executives’ documented roles; no personal involvement is established.
Relevance: Provides company governance context, but does not support an adverse personal conclusion about the current CFO or interim CEO.
ASIC sues TerraCom Limited and current/former officers (23-045MR) (Media release, background and editor updates through May 2025); Australian Securities and Investments Commission v TerraCom Limited [2025] FCA 726 (Judgment, final decision on allegations against former officers); Australian Securities and Investments Commission v TerraCom Ltd (No 3) [2025] FCA 1017 (Reasons for judgment, finding and penalty against TerraCom); 25-179MR TerraCom to pay $7.5 million after ASIC whistleblower action (25-179MR; company admission, penalty, costs and dismissal of claims against former officers); ASIC FOI 124-2026, unpaid pecuniary penalties outstanding as at 31 May 2026 (ASIC FOI 124-2026 table: TerraCom listed outstanding as at 31 May 2026); Australian Securities and Investments Commission v TerraCom Ltd (No 3) [2025] FCA 1017 (Orders paragraphs 3–4: $4m within 28 days and $3.5m by 30 June 2026)
Suitability for the current role
Public evidence of fit for Interim Chief Executive Officer / Chief Operating Officer
COO from 3 February 2025; Interim CEO from 9 April 2026; FY2026 results to 30 June 2026 · analyst inference · medium materiality
TerraCom appointed Bourke COO on 3 February 2025 and interim CEO on 9 April 2026. The FY2026 annual report describes the Blair Athol operation as below its expected performance levels, with workforce, equipment, water and plant-yield challenges; it reports corrective steps including a new pit, added capacity and product-mix trials. This is company/operating context during his COO tenure. The annual report does not attribute the historic causes or shortfall to Bourke personally; he became interim CEO only in April 2026. His mining-engineering and project-management degrees are issuer-reported.
Attribution: Role overlaps event; causation unproven. He overlapped with FY2026 operating performance as COO; the annual report describes operating constraints but does not connect their causes to him personally. CEO tenure began after most of the reported financial year.
Relevance: Operational delivery matters to his current CEO/COO responsibilities; the company’s latest annual report also identifies funding and going-concern constraints, making near-term execution important.

Evidence gaps
- TerraCom biography and FY2026 annual report report FY2026 operating and funding constraints; no personal causation is established. Earlier employers and degree award dates remain undisclosed. The reviewed public record does not show whether the $3.5m ASIC penalty instalment due 30 June 2026 was paid by cutoff.
