Funding, performance and ownership
Financials & Capital
Liquidity
Financial position
Cash of A$11.8m at 30 Sep 2026 with no drawn or undrawn facilities. Liquidity depends on gold sales from EKJV production and on the timing of gold sales (bullion on hand at cost A$203.7m at 30 June 2026). Tax paid in FY26 (A$33.6m) and in Q1 FY27 (A$12.5m) absorbs much of the operating cash, so the cash balance is sensitive to the tax instalment calendar.
Inventory composition5
Consolidated group inventories of A$248.8m at 30 June 2026 (gold bullion A$203.7m, gold in transit A$1.1m, silver A$11.2m, ore stockpiles A$28.7m, consumables A$4.1m). Ounces of gold on hand are not disclosed; bullion is carried at cost, which is below net realisable value at the current gold price as long as the price stays above the carrying cost per ounce. Ore stockpiles and consumables are not bridged because the mine plan values the ore and the consumables are costs.
- Gold bullion on hand (group share, at cost; ounces not disclosed)
- A$203.7M carrying
- Gold in transit (group share, at cost)
- A$1.1M carrying
- Silver on hand (group share, at net realisable value)

Shares were 52,468,077 at 30 June 2025 and 30 June 2026 (FY26 note 19); no shares were issued or cancelled in FY26. The 1,000,000 $6.00 options expired unexercised on 31 May 2025 (Appendix 3H, 3 June 2025). An on-market buy-back of up to 5,246,807 shares began 21 May 2026; no shares had been bought back at 30 Sep 2026 (September quarter report). The 400,000 options at $7.07 are out of the money at the reference price and the per-share value uses basic shares; fully diluted shows them in case the value exceeds $7.07.

Contracts and ownership
Material economic arrangements These are deals that can affect sales, costs, funding or ownership. An arrangement marked “Included in valuation” may already be built into a project estimate or the bridge to shareholder value. A separate amount is shown only when one can be estimated; do not add it again.
Arrangements disclosed in the FY26 annual report, the EKJV resource and reserve statement (Aug 2026), the quarterly reports to Sep 2026 and the consolidated entity disclosure statement. No hedging arrangements are disclosed in FY26; the single-customer gold sale is not a hedge.
Joint venture for the East Kundana mines; Evolution manages the operations. Tribune consolidates Rand (46.73%), so the group accounts show 49% of EKJV with non-controlling interest in Rand. Tribune's economic share is 42.47%.

Decision-relevant facts
Material summary
Anthony Billis
Managing Director / Chief Executive Officer
Takeovers Panel found unacceptable circumstances in Tribune disclosure
The Takeovers Panel declared unacceptable circumstances after concluding the market had been materially uninformed about persons with substantial interests and control of Tribune. It considered Billis and another person associated under the Act and described numerous substantial-holder contraventions as occurring if submissions by the relevant parties were accurate. The later reconsideration reasons maintained the declaration and described reported tracing responses as incorrect. This was a civil takeover-regulation matter, not a finding of fraud; the conditional qualification on contraventions is retained. The public material reviewed did not establish any later appellate reversal.
Individual involvement documented · The Panel expressly named Billis and found association/control relationships; its stated contraventions were conditional on the parties’ submissions being accurate. This supports a governance and disclosure oversight finding, not a fraud or criminal-misconduct finding.

Board overlap featured in Takeovers Panel control findings
The Takeovers Panel record states that the board of Rand Mining was identical to Tribune’s board and discussed cross-shareholdings and substantial-holder disclosure. Demis was then a director of both boards. The record establishes role overlap and governance context, but does not by itself establish personal causation or that he committed a contravention.
Role overlaps event; causation unproven · The source establishes overlapping board positions; it does not establish that Demis personally caused or knew of disclosure deficiencies.

Coverage and limitations
- The ranked register lists legal account holders and does not identify underlying beneficial owners of nominee/custodian positions.
- The annual report reports percentages and quantities but no share-capital denominator for the table; percentages are retained on the issuer-reported basis and no denominator is inferred.
- The substantial-holder summary is a separate view and overlaps the registered accounts; do not add it to the top-20 table.
