The Mankessim lease holder is 90% Atlantic according to the September 2026 tenement table; Huayou has rights to 22.5% of the Ghana portfolio. The 69.75% figure is an inferred current economic exposure (90% × 77.5%) and depends on how those rights map into the lease-holding company; it is not an issuer-disclosed ownership percentage. After full earn-in and Ghana’s 13% production free carry, an illustrative 43.5% may remain if no MIIF investment occurs. Legal reconciliation is needed.

A$38.196 million of undrawn capacity is an equity facility, not cash or debt; drawings require eligible placement capacity and create dilution. Post-quarter deferred cash proceeds of about A$0.1 million are additional. Facility terms include a 5% commission, an AIM VWAP-based placement price, tranche limits and minimum price; amounts shown are not a guarantee of proceeds. The undrawn facilities field is left null because the disclosed capacity is a contingent dilutive equity placement, rather than a committed debt facility or cash equivalent; the facility terms remain described here.

Ordinary shares including the 6.5 million loan-funded shares rose from 693,147,313 at 30 June 2025 to 801,503,291 at 30 June 2026: 72,757,549 facility shares, 10,000,000 security shares, 25,380,709 strategic subscription shares and 217,720 performance-right shares. No change occurred through 27 October. The loan-funded shares are already in the ordinary count and must not be added again. Fully diluted shares mechanically add 10 million warrants and 12,484,063 rights; their exercise and scheme treatment need reconciliation. The 6,081,082 Class A Ghanaian investor warrants expired unexercised on 6 May 2026. Proposed Class B and C warrants were subject to shareholder approval; their issuance is not established. The 10 million Long State security shares already issued may ultimately be transferred, sold for the company or bought back and cancelled under the facility terms.

Contracts and ownership
Material economic arrangements These are deals that can affect sales, costs, funding or ownership. An arrangement marked “Included in valuation” may already be built into a project estimate or the bridge to shareholder value. A separate amount is shown only when one can be estimated; do not add it again.
Reviewed annual report, study, mining lease announcement and latest quarterly; underlying private royalty agreements and MIIF project status require further checking.
Huayou acquired the prior joint venture rights from Elevra independently of the takeover. It is to sole fund the remaining Stage 3 commitment, then share additional costs equally. The legal and government interests must be reconciled before converting these percentages to project cash flows.

Management background checks
The team has reported lithium operations, finance and exploration experience, and the company attributes oversight of the maiden Ewoyaa resource to its exploration manager. A July 2024 Ewoyaa workforce fatality and historical community compensation allegations are material company-level issues; individual misconduct is not established. Documented searches are limited, and current status for one exploration executive remains uncertain.

Material summary
Keith Muller
Chief Executive Officer; Executive Director
Ewoyaa workforce fatality and subsequent safety changes
A workforce member died at Ewoyaa on 9 July 2024; Atlantic Lithium reported it stopped activities, notified authorities and resumed after Minerals Commission site inspections. Its FY2025 report says it updated risk assessments, procedures and training, and reports LTIFR falling from 4.22 to 2.65 and TRIFR from 12.65 to 2.65. The reported improvement is company-reported and does not independently establish causation or prevent recurrence.
Role overlaps event; causation unproven · Atlantic Lithium employed this executive at or before the incident based on the available role evidence, but no individual causation or breach has been established.
FoN/Oxfam report alleges historical farmer compensation and consultation grievances
GNA reported that a Friends of the Nation study produced with Oxfam alleged inadequate compensation or lack of prior notice for some farmers during exploration, particularly 2017–2019. It described disputes over crops, naturally occurring trees and community representation, while also noting FoN praised the company for waiting for parliamentary ratification before mining. The underlying study was not retrieved; the GNA news account does not identify a responsible individual. In the same article an unnamed company official denied infringing stakeholder rights and said traditional authorities notified landowners. This denial is not independent resolution.
Employer context; no individual link established · This is a project/company allegation about historical exploration; no individual responsibility or the rostered executives’ tenure at that time was established.
Evidence gaps · 7
- Education, professional memberships and credentials require person-specific primary or independent verification where not detailed in the cited issuer source.
- Individual attribution for company outcomes was not established; company results must not be read as personal achievements.
- The underlying FoN/Oxfam study and individual case compensation records were not obtained. GNA records the company denial; this does not independently resolve the claims.
- The full Ghana Minerals Commission investigation into the 9 July 2024 Ewoyaa fatality was not obtained; underlying cause, findings and personal responsibility remain unverified.
- Past-employer work dates, complete records of regulatory enforcement and independent verification of qualifications remain incomplete.
- Issuer disclosures disagree on appointment dates: the 2023 employment contract states CEO commencement on 16 May, the 2023 AGM notice states board appointment 23 June, and the 2026 annual report states 31 May. The single role date is left unset.
- The prior report contained shared multi-person, nine-topic search logs from 9 October; their execution and person-specific coverage could not be independently established and they were not carried forward as verified searches.
Amanda Harsas
Finance Director; Company Secretary
Documented role scope and role fit
Analyst inference: the documented title places Amanda Harsas in a function relevant to ASX ordinary-share exposure to pre-production Ewoyaa in Ghana, a smaller Côte d’Ivoire lithium exploration portfolio, and a conditional USD cash acquisition scheme with Huayou. The reviewed material does not establish individual delivery or causal contribution; suitability beyond title alignment remains unassessed. Issuer material documents relevant prior experience: Senior finance roles in strategic/commercial finance, transformation and capital management. This supports role relevance only and does not prove an outcome in this role.
Responsibility not applicable · This is a limited role-scope inference from the issuer-documented position; it is not an outcome or personal-performance claim.

Andrew Henry
Chief Commercial Officer
Documented role scope and role fit
Analyst inference: the documented title places Andrew Henry in a function relevant to ASX ordinary-share exposure to pre-production Ewoyaa in Ghana, a smaller Côte d’Ivoire lithium exploration portfolio, and a conditional USD cash acquisition scheme with Huayou. The reviewed material does not establish individual delivery or causal contribution; suitability beyond title alignment remains unassessed. Issuer material documents relevant prior experience: Commercial Manager at Allkem; earlier more than four years with Newcrest. This supports role relevance only and does not prove an outcome in this role.
Responsibility not applicable · This is a limited role-scope inference from the issuer-documented position; it is not an outcome or personal-performance claim.

Bogoso Prestea operational shutdown during 2021 community protest
Ghanaian news outlet MyJoyOnline reported that Future Global Resources temporarily shut the Bogoso Prestea mine in July 2021 after a Dumasi community protest and damage at the site. It reported a closure notice signed by General Manager Ahmed-Salim Adam. It did not establish his responsibility for the protest or the underlying dispute. A 2026 Blue Gold SEC filing separately reports that the former leaseholder later disputed a September 2024 notice terminating its mining leases. Atlantic Lithium announced Adam joined in November 2023; no personal link to the later dispute was established.
Role overlaps event; causation unproven · The news account associates Adam with the temporary closure response, not causation; the 2024 lease dispute occurred after his Atlantic Lithium appointment.

Iwan Williams
General Manager - Exploration
Exploration oversight of maiden Ewoyaa resource
The company stated in April 2024 that Williams had been exploration manager for over five years and had overseen delivery of the maiden Ewoyaa mineral resource estimate in January 2020 and subsequent upgrades, alongside the wider exploration team. The statement is company-reported and does not establish a producing mine.
Individual involvement documented · The issuer expressly attributed an oversight role to Williams; the project discovery and delivery were a team effort.
Evidence gaps · 8

- Individual attribution for company outcomes was not established; company results must not be read as personal achievements.

- Past-employer work dates, complete records of regulatory enforcement and independent verification of qualifications remain incomplete.
- The 2026 annual report identifies Williams as General Manager - Exploration in its competent person statement, while the current executive leadership web page omits him; the latest employment status is not separately confirmed.
- The prior report contained shared multi-person, nine-topic search logs from 9 October; their execution and person-specific coverage could not be independently established and they were not carried forward as verified searches.
- The selected bundle records the exploration role, but the latest corroborating dated source is the September 2026 annual report; the issuer’s current leadership page does not list Williams, so his status at 31 October remains uncertain.
