Contracts and ownership
Material economic arrangements These are deals that can affect sales, costs, funding or ownership. An arrangement marked “Included in valuation” may already be built into a project estimate or the bridge to shareholder value. A separate amount is shown only when one can be estimated; do not add it again.
Annual-report baseline and later QIC funding announcement and quarterly cash receipts reviewed; no other live material contractual terms identified in selected primary evidence.

The team has directly documented exploration and corporate reporting experience. Prior-company governance and environmental outcomes merit review with the favorable court findings, later remediation and limits on personal responsibility preserved. This is limited public-source screening.
Decision-relevant facts
Material summary
Donald Garner
Managing Director
Relevant professional background and qualifications
25+ years in resources; geology and corporate finance experience. At Red River (2014–2021), strategy and business development; issuer credits him with transforming it into a listed company with operating assets. BSc (Hons), MSc and listed professional memberships.
Individual involvement documented · This is an issuer-published career summary; it is not independent verification of every claimed contribution.
Red River grew during Garner’s disclosed strategy role, then later failed
Iltani’s prospectus credits Garner with RVR strategy/business development and describes growth to a $150m listed company with operating Thalanga and Hillgrove assets. A separate later record shows administration/liquidation in 2022–23 after his stated departure in 2021. The promotional growth claim and later failure are kept distinct; no individual causal claim is made.
Individual involvement documented · Prospectus attributes strategy and BD remit; it does not prove sole authorship of company growth. Later failure post-dates tenure.
Orient resource and early testwork advanced under current team
The FY2026 annual report records an initial 62.5 Mt Orient resource estimate and 88 reverse-circulation holes plus two diamond holes in the year; Mining One estimated the resource. In October 2026 five tonnes of drill core were sorted for metallurgical testing, while flotation and the scoping study remained future work.
Role overlaps event; causation unproven · Garner was managing director; resource estimation was performed by an independent consultant and the evidence does not apportion individual contribution. Resource estimates and testwork are not production.
Red River obtained court relief for auditor appointment oversight
Red River did not secure shareholder appointment of its auditor at its 2018, 2019 and 2020 meetings; the Federal Court granted relief in March 2021 and found the failure arose from honest inadvertence. The court validated the appointment and relevant notices and relieved the company and relevant directors/officers from specified civil liabilities.
Role overlaps event; causation unproven · Garner was a Red River executive director during the period. The court found the oversight was due to company secretary Bodley’s honest inadvertence and not dishonesty or intentional action; it did not establish personal fault by Garner.
Evidence gaps · 4
- Degrees and professional memberships have not been independently verified with awarding bodies.
- His precise personal contribution to Red River operating results and later insolvency is not established; insolvency followed his departure.
- Full court, regulatory, environmental and safety searches are not exhaustive; detailed prior-employer career dates and shareholder-return attribution remain limited.
- Separate person-and-employer searches of court, regulator, fraud, safety and environmental records were not completed for every material prior role; broad combined searches cannot establish that those checks were performed.
Justin Mouchacca
Non-Executive Director and Company Secretary
Relevant professional background and qualifications
Chartered Accountant and Governance Institute of Australia Fellow; 15+ years public-company statutory, governance and reporting experience; principal of JM Corporate Services since July 2019.
Individual involvement documented · This is an issuer-published career summary; it is not independent verification of every claimed contribution.
Company secretarial and accounting services were disclosed as related-party services
Iltani’s prospectus discloses JM Corporate Services, for which Mouchacca was sole director and shareholder, was engaged for secretarial and accounting services. The audited FY2026 report records A$108,000 paid to the related entity and describes the arrangement as arm’s length; that description is the company’s, not an independent finding.
Individual involvement documented · Prospectus explicitly identifies ownership/engagement and proposed fee terms; no breach is alleged.
Evidence gaps · 4
- Independent verification of accountancy qualifications and professional memberships was not obtained.
- The commercial benchmarking and conflict-management operation for the disclosed related-party service fees have not been independently reviewed.
- Searches are open-web screening only; comprehensive court, regulator, employer-outcome and current external-appointment records were not obtained.
- Separate person-and-employer searches of court, regulator, fraud, safety and environmental records were not completed for every material prior role; broad combined searches cannot establish that those checks were performed.
Erik Norum
Exploration Manager
Relevant professional background and qualifications
30+ years geology, 20+ in senior/management roles; BSc Applied Geology, Member of Australian Institute of Geoscientists; exploration through resource development and mine geology experience.
Individual involvement documented · This is an issuer-published career summary; it is not independent verification of every claimed contribution.
Technical reporting across the Herberton district
A 2006 signed technical certificate reports that Norum was Intrepid’s Australian exploration manager and identifies his geology degree and professional membership. Iltani’s 2026 report identifies him as the competent person responsible for compiling its exploration results; Mining One, not Norum, is named for the Orient mineral-resource estimate.
Individual involvement documented · The certificate is Norum’s self-report; the company’s competent-person statement identifies his technical reporting role but does not independently verify the degree or attribute the resource estimate to him.
Former Monto subsidiary and mine operator fined after water releases
During the 2011–12 wet season, mine-affected water entered Jamie Creek and the Walsh River from Baal Gammon. Queensland said Monto subsidiary Baal Gammon Copper pleaded guilty to environmental-authority and protection-order breaches and was fined A$80,000 in 2013; operator Kagara was separately fined A$120,000. Queensland’s April 2026 update reports primary remediation completed, but ongoing care and monitoring, and says creek contamination also reflects geological factors and historic mining.
Role overlaps event; causation unproven · Monto’s April 2012 report described Norum as recently appointed exploration manager, a July 2013 announcement names him in that role, and its 2014 report records his August 2014 departure. The precise start date and overlap with the 2011–12 releases are not established. Kagara operated the mine; the sources do not establish that Norum operated the site, directed the releases or committed a breach.
Evidence gaps · 5
- No original court judgment or complete investigation and remediation file was obtained for the 2012 Baal Gammon releases; contemporaneous roles do not establish Norum’s personal involvement.
- Independent confirmation of university degree and current professional membership was not obtained.
- Complete prior-employer history, his specific responsibility for Iltani exploration outcomes, and comprehensive regulator and court records remain unavailable.
- Separate person-and-employer searches of court, regulator, fraud, safety and environmental records were not completed for every material prior role; broad combined searches cannot establish that those checks were performed.
- His exact start date at Monto is unknown, so overlap with the 2011–12 releases is not established; his separate July 2013 exploration role does not establish mine-operation responsibility.
