Liquidity
Financial position
Cash of A$10.1M at 30 September 2026 covers about 6.7 quarters of current outgoings only when the ATM is used in full; the ATM remains subject to share price and to the 7.1 and 7.1A placement limits. Kachi capex (US$1,157M in the DFS Addendum) is about 100 times current liquidity, so project financing or a strategic partner is required before any construction.

Contracts and ownership
Material economic arrangements These are deals that can affect sales, costs, funding or ownership. An arrangement marked “Included in valuation” may already be built into a project estimate or the bridge to shareholder value. A separate amount is shown only when one can be estimated; do not add it again.
Arrangements disclosed in the FY26 annual report (note 27, Lilac shareholder terms), the September quarter report and the October presentation. The Lilac technology licence terms and the YPF Luz power letter of intent are not in the documents read and are recorded from their disclosed summaries only.
Lilac's Gen 4 ion-exchange technology underpins the DFS Addendum recovery (about 90 percent) and the reduced well and module count. Licence and royalty terms were not in the documents read.

Management background checks
The team has reported major-project, finance, legal and Argentine technical experience. The SEC’s settled McDermott order against CEO Dickson, prior-employer restructuring and financial-controls litigation, and Kachi funding and environmental oversight merit specific attention; individual responsibility and unresolved allegations are distinguished.
Decision-relevant facts
Material summary
David Dickson
Managing Director and Chief Executive Officer
SEC settled reporting-controls order
The SEC found that Dickson and then CFO Stuart Spence approved a Cameron project loss estimate developed outside regular processes despite a higher initial estimate, indirectly causing inaccurate McDermott books and quarterly reporting. In 2023 he consented to a cease-and-desist order and US$100,000 penalty without admitting or denying the findings. Lake stated the matter concerned his previous employer and was unrelated to Lake.
Individual involvement documented · The SEC order is a settled administrative order; its findings are not binding on others and are not a criminal finding.
McDermott entered Chapter 11 during CEO tenure
McDermott entered voluntary Chapter 11 in January 2020 with a proposed restructuring to eliminate over US$4.6 billion of funded debt. Dickson’s court declaration says he had been CEO since December 2013.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
McDermott shareholder litigation
A separate securities class action named Dickson as a defendant over alleged merger-related disclosures. McDermott stated in Q1 2026 that it considered the claims meritless; in May 2026 the court appointed a lead plaintiff for a subclass. This procedural order is not a judgment on the allegations; the ultimate outcome was not located.
Individual involvement documented · Allegations and defenses remain distinct from the 2023 SEC settlement; no final liability determination was located.
Kachi environmental approval and remaining financing
Lake announced Kachi’s environmental impact declaration in September 2026 and transition into FEED. The FY2026 report identified material going-concern uncertainty and financing needs; commercial production has not been delivered.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
Evidence gaps · 2
- Original case docket and any developments after May 2026 were not fully obtained.
- Independent verification of qualifications and exact McDermott departure remains incomplete.
Don Miller
Chief Financial Officer
Bristow Chapter 11 and reorganization
Bristow filed for Chapter 11 in May 2019 with Miller as CEO. In October 2019 the company reported court confirmation of its plan, expecting new equity and emergence later that month.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
Bristow disclosure litigation settlement
Bristow’s SEC-filed statements named Miller as a defendant in a securities case alleging deficient disclosure of financing-covenant controls; defendants contested the claims. Plaintiffs’ co-counsel reports that a US$6.25 million class settlement received final court approval in August 2021. The settlement does not establish an individual finding of wrongdoing.
Individual involvement documented · Miller was named as a defendant; the later settlement is not an admission or merits finding.
Cash and going-concern context
Lake’s FY2026 auditor drew attention to material uncertainty regarding going concern without modifying its opinion. The September quarter ended with A$10.129 million cash after A$7.9 million raised via share issues.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
Evidence gaps · 2
- Original settlement judgment and any individual contribution or admission were not retrieved.
- Independently verified degrees and professional memberships remain incomplete.
Justin Olson
Chief Legal, Compliance & Risk Officer and General Counsel
Relevant reported background
Lake reports prior roles in legal and compliance at McDermott, Aker Solutions and Technip, and reports Baylor Law and University of Washington degrees.
Individual involvement documented · Issuer reports the roles; individual contributions and independent confirmation are limited.
Prior McDermott compliance role during restructuring
Lake reports that Olson previously served as McDermott chief compliance officer, but the dates of his role were not verified. McDermott entered Chapter 11 in 2020; a 2023 SEC settlement found CEO and CFO reporting violations concerning a 2018 project forecast. The SEC order does not identify Olson as a respondent.
Employer context; no individual link established · Tenure overlap and any individual role in the reporting matter are not established.
Evidence gaps · 2
- Precise dates, duties and independent qualifications are not fully verified.
- No evidence connects Olson to the conduct in the SEC order.
Nkechi Ezimah
Senior Finance Manager and Company Secretary
Reported finance and secretary experience
Lake reports that Ezimah joined its finance team in November 2022 and was appointed finance manager and secretary in September 2024 after prior positions at BDO, Findex, PwC and Deloitte.
Individual involvement documented · Roles are issuer-reported; individual prior contributions not independently established.
Evidence gaps · 2
- Independent credentials, memberships and detailed past employer outcomes are unverified.
- Public-record legal and regulatory searches were limited.
Stuart Crow
Non-Executive Chairman
Kachi approval follows earlier partner disagreement
Lake said it resolved a dispute with Lilac by amending its contract in November 2022. Lake reported an environmental declaration for Kachi in September 2026; FEED and project financing remained to advance.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
Consultation requests and environmental conditions
Independent reporting described community questions and requests for continuing consultation at the August 2026 Kachi public hearing. Lake later reported an environmental declaration with a 200-metre lagoon exclusion zone. Reported concerns are not proof of environmental harm.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
Contested short-seller claims and company response
In 2022, short seller J Capital questioned Kachi technology, disclosure and project funding. Lake called the technical allegations inaccurate, including saying they described the wrong extraction process. J Capital disclosed it might be short Lake shares. The allegations are contested, not regulatory findings.
Role overlaps event; causation unproven · Crow was chair; sources do not establish personal wrongdoing or adjudicate the claims.
Court relief for late cleansing notices
In 2022 the Federal Court granted Lake’s application to extend the filing time and validate affected 2021 share sales after the company said cleansing notices had been lodged late.
Role overlaps event; causation unproven · The court orders correct the company filing issue; no personal misconduct finding against Crow is established.
Evidence gaps · 2
- Exact dates and outcomes for each prior board appointment need further source review.
- Bourg’s current issuer-confirmed role and full management roster remain unverified.
Robert Trzebski
Non-Executive Director
Mining-technology and board experience
Lake appointed Trzebski in December 2019 and reports prior mining and technology roles, including Austmine and an Austral Gold directorship.
Individual involvement documented · Prior role outcomes were not independently assigned to him.
Evidence gaps · 1
- Earlier employer dates, outcomes, independent credentials and original Argentine and Chilean court and regulator records remain incomplete.
Barbara Cozzi
Argentina corporate affairs; country manager in February 2026 (exact current title unconfirmed)
Argentina leadership and legal experience
Lake’s February 2026 presentation identifies Cozzi as Argentina country manager. A June 2026 report places her at a government meeting with Lake’s CEO; an Argentine corporate notice recorded her Barrick Exploraciones legal and property responsibilities in 2020.
Individual involvement documented · The records establish named roles and participation, not sole responsibility for project delivery.
Kachi consultation and declaration
Reporting on the August 2026 public hearing records participant questions and requests for ongoing consultation. Lake reported the environmental declaration in September 2026, with a lagoon exclusion zone.
Role overlaps event; causation unproven · Company-level performance or overlapping role does not establish personal causation.
Evidence gaps · 2
- Exact appointment date and confirmation of title at cutoff are unresolved.
- Independent qualifications, the full duration of other Barrick roles, past-employer outcomes and Argentine court searches remain incomplete.
Michael Gabora
Competent Person; current employment status unconfirmed
Current competent-person appointment
The September 2026 quarterly identifies Gabora as Lake’s competent person and reports professional registrations. His signed 2012 Cerro Moro report identifies him as Ausenco Vector senior hydrogeologist and describes his technical scope.
Individual involvement documented · Competent-person role is documented; current management rank and appointment terms are not established.
Evidence gaps · 2
- Whether Gabora is an employee or external consultant and his exact appointment date are unverified.
- Independent credentials, regulatory records, career dates and technical work outcome checks are incomplete.
