Material economic arrangements These are deals that can affect sales, costs, funding or ownership. An arrangement marked “Included in valuation” may already be built into a project estimate or the bridge to shareholder value. A separate amount is shown only when one can be estimated; do not add it again.
FY26 annual, current quarter and original Kalkaroo terms establish material arrangement categories. Complete private concentrate contract terms are not disclosed; QP hedges expire before cutoff.
Owned contractual acquisition right only, with0% current mine interest. Transaction-calibrated net right value encompasses attached PFS/election/future funding conditions; remaining nominal PFS needs are shown in liquidity workpaper, not deducted twice.

Management background checks
The reviewed sources describe a copper producer with reported operating progress alongside serious historical heritage, safety and auditor-appointment issues. The board directly named the COO in an incentive decision, while company events are not treated as proof of personal culpability. This is incomplete public-record screening.

Material summary
Brendan Harris
Chief Executive Officer and Managing Director
Reported production and financial improvement
Sandfire reported FY2026 group copper-equivalent production of 154.2kt and net cash of US$353m at 30 June, compared with net debt of US$123m a year earlier. Company results reflect team performance and commodity prices, not proof of individual causation.
Role overlaps event; causation unproven · Harris was CEO in the period; group results cannot be uniquely attributed.
MATSA contractor fatality and company response
A contracting-company worker died at the Magdalena mine on 25 February 2026. Sandfire said it suspended activity and was working with Spanish authorities; the April quarterly said the authorities continued their investigation. The final investigation and any findings are not established. Sandfire’s FY2026 remuneration report says the board applied a 10-percentage-point negative modifier to the company STI scorecard following the fatality; this company scorecard adjustment was not a finding of personal fault.
Role overlaps event; causation unproven · The person held group leadership during the event; sources do not establish personal responsibility for the death.
Auditor appointment oversight and court relief
The WA Supreme Court held that Sandfire had not obtained the required nomination and shareholder appointment of its auditor at the 2023 AGM, and granted validating relief in 2024. The court found the non-compliance inadvertent, with no evidence of substantial misconduct. Evidence before the court said Prior escalated the issue to Tually and Jansen, then Harris.
Role overlaps event; causation unproven · The court considered company oversight and subsequent detection and escalation; it did not find this individual personally responsible for the failure.

Board applied incentive discretion following heritage disturbance
Sandfire reported disturbances at Monty mainly in 2017–18 and delayed notification to the Yugunga-Nya. The board reduced Grace’s FY2024 individual short-term incentive outcome by 12.5%; it discussed accountability for physical disturbance, escalation time, or both, without specifying the exact basis for Grace. The independent commissioned investigation identified organisational process failures. Sandfire later reported that the Western Australian heritage department did not substantiate an Aboriginal Heritage Act breach; the department’s original determination was not reviewed.
Individual involvement documented · The board specifically named Grace in its incentive decision. Grace joined Sandfire in 2019, after the main 2017–18 disturbance; the report does not prove that he caused it.
DeGrussa rock-fall conviction
WorkSafe WA reported that Sandfire pleaded guilty in November 2023 to a safety breach after a May 2020 rock fall trapped and injured a worker at DeGrussa. The regulator reported a A$551,250 fine and A$4,670 costs.
Role overlaps event; causation unproven · Grace was Sandfire COO by 2020. The company was convicted; the regulator announcement does not establish his personal involvement or fault.

Coverage and limitations
- The 20 registered accounts total 423,914,040 shares and 90.80% of issued ordinary shares on 24 July 2026; nominees do not identify underlying beneficial owners.
- The later Harris notice states the change date was 27 August but also states rights vested on 28 August; its post-change holding is reported with that date uncertainty.
- State Street and Vanguard disclosures are historical, and both group interests and register accounts can overlap; do not sum these views or assume custody equals economic ownership.
- Macquarie ceased being a substantial holder on 26 March 2026, without implying zero ownership. BlackRock subsequently regained substantial status on 20 August.
- The 16 October 2026 Sandfire notice concerns its investment in BOA Resources, not ownership of Sandfire.
- Havilah’s register account reflects Sandfire shares received in the Kalkaroo transaction; subsequent ownership may have changed.
