Contracts and ownership
Material economic arrangements These are deals that can affect sales, costs, funding or ownership. An arrangement marked “Included in valuation” may already be built into a project estimate or the bridge to shareholder value. A separate amount is shown only when one can be estimated; do not add it again.
Arrangements in the DFS, FY2026 Annual Report, the September 2026 quarterly, the native title and power announcements and the Mt Fisher completion. The oxygen supply and EPC contract terms and the St Barbara royalty rate were not disclosed in the documents read.
A$350m syndicated debt (A$300m term loan, A$20m cost overrun, A$30m bank guarantee) with a 5.5-year term, first secured over the project; financial close and first drawdown on 2 October 2026. Undrawn amounts fund DFS capex inside the DCF, not the equity bridge.

Material summary
Phillip Wilding
Managing Director & CEO
Youanmi moved from explorer to funded mine development during his CEO tenure
Rox reported completion of the Youanmi DFS in November 2025, underground mining beginning in November 2025, project construction permits received, FID in March 2026, and funding comprising A$200m institutional placement, A$18m share purchase plan and A$350m project debt facilities (subject to conditions precedent). The February 2025 appointment release says that since CEO commencement in October 2024 Wilding oversaw a A$27m raise, completed 11,000m growth drilling, began a 35,000m drilling campaign and met project milestones. These are issuer-reported outcomes; the annual report says gold production remained a FY27 objective.
Role overlaps event; causation unproven · As CEO, he held executive oversight during the reported funding, permitting, FID and first development milestones; the sources do not isolate his personal causal contribution beyond the company’s express appointment-release attribution.

Greg Hoskins
CFO & Company Secretary
CFO tenure overlapped major Youanmi financing and final investment decision
During Hoskins’s CFO tenure (from 3 February 2025), Rox reported A$200m institutional equity, A$18m SPP and A$350m project debt facilities, and a March 2026 FID. The annual report records his CFO/Company Secretary role, remuneration linked to DFS and FID and vesting of his DFS performance rights. The appointment release separately documents his prior role in OreCorp project financing and negotiation of the Perseus acquisition; it does not establish his personal role in Rox’s capital raise.
Role overlaps event; causation unproven · Hoskins held the finance leadership role during company-level funding and FID; no reviewed source specifically attributes terms, negotiation or financing execution to him at Rox.

General Manager – Planning & Development
Technical sign-off on the Youanmi Ore Reserve statement
The FY26 report identifies Marchesi as General Manager – Studies, names him as the consenting Competent Person for the Youanmi Ore Reserve statement released 9 September 2026, and reports that the main project received FID and commenced underground development. That documents a defined technical responsibility; it does not show that he alone authored the development outcome.
Individual involvement documented · The company identifies him as the Competent Person consenting to the Ore Reserve statement, supporting direct technical attribution for that statement only.
